IMPORTANT NOTICE

These Terms contain important limitations of liability, an assumption of risk, and indemnification obligations relating to laser equipment. By using the Site, purchasing Products, or accepting delivery, you agree to these Terms. If you do not agree, do not use the Site or purchase, install, operate, service, or permit access to the Products.

Consumer notice. Nothing in these Terms excludes any remedy or liability that applicable law does not permit the parties to exclude or limit.

1. Acceptance and Scope

These Website Terms and Conditions (the "Terms") are a binding agreement between AEON Laser USA, Inc. ("AEON," "we," "us," or "our") and each visitor, purchaser, recipient, owner, operator, or other user ("you" or "your") of aeonlaser.us and related pages, checkout functions, customer portals, content, communications, products, equipment, accessories, parts, software, training, and services (collectively, the "Site" and "Products").

You accept these Terms by accessing or using the Site, creating an account, submitting information, placing or accepting an order, accepting delivery, or using a Product. If you act for an organization, you represent that you have authority to bind it, and "you" includes that organization. Additional signed quotations, invoices, financing documents, or product-specific terms control over these Terms only to the extent of a direct conflict.

2. Eligibility; Accounts; Electronic Communications

You must be legally able to enter a contract and at least the age of majority where you live. You are responsible for accurate account and order information, safeguarding credentials, and all activity under your account. You consent to transact electronically and to receive notices, disclosures, invoices, and records electronically. Electronic acceptance and signatures have the same effect as originals to the extent permitted by law.

3. Website Use and Prohibited Conduct

You may use the Site only for lawful purposes. You may not interfere with the Site; bypass security; introduce malware; scrape or harvest data except as permitted by law; impersonate another person; submit false information; infringe rights; reverse engineer Site technology; use Site content to train a commercial model without written permission; or use the Site or Products to facilitate unlawful, deceptive, dangerous, sanctioned, or export-controlled activity.

4. Product Information; Quotes; Orders

We make reasonable efforts to present accurate descriptions, images, specifications, prices, availability, lead times, and compatibility information, but they may contain errors or change. Images may be illustrative. We may correct errors, update or discontinue offerings, limit quantities, reject or cancel orders, or require verification. An order confirmation acknowledges receipt and is not acceptance; acceptance occurs when we expressly accept the order or ship the Product.

You are responsible for confirming that the selected Product, power, workspace, ventilation, access route, floor loading, software, peripherals, materials, production needs, and local approvals are suitable. Recommendations are based on information you provide and do not replace your own professional evaluation.

5. Prices; Taxes; Payment; Financing

Prices are in U.S. dollars unless stated otherwise and may exclude tax, shipping, freight, insurance, installation, rigging, duties, permits, and other charges. You must pay all amounts when due and all applicable taxes not collected by us. Payment processing and financing may be provided by third parties under their own terms. We may suspend performance, withhold shipment, or exercise lawful collection remedies for overdue amounts.

6. Laser Equipment: Inherently Hazardous Product

Laser cutting, engraving, marking, and related equipment uses concentrated optical energy, high voltage, moving components, heat, compressed air or gases, cooling systems, exhaust systems, and combustible materials. Operation can cause fire, smoke, toxic or corrosive fumes, eye or skin injury, electrical shock, crushing or entanglement, burns, explosion, property damage, serious bodily injury, or death. Finished products, settings, materials, and emissions can behave unpredictably.

No website statement, demonstration, training, recommendation, setting, file, or other communication eliminates these hazards or substitutes for the Product manual, safety labels, applicable standards, local law, facility rules, or competent professional advice.

7. Purchaser and Operator Safety Obligations

Before installation or operation, and throughout Product use, you must:

·       read, understand, and follow the current manual, labels, setup instructions, maintenance schedule, and all AEON safety communications;

·       restrict access to trained, competent, authorized adults and supervise trainees; never allow children or untrained persons to operate or access an operating machine;

·       use a code-compliant electrical supply, grounding, ventilation, exhaust, cooling, compressed-air or gas systems, fire protection, and workspace appropriate for the Product and materials; use qualified licensed professionals where required;

·       keep all covers, guards, doors, interlocks, sensors, emergency stops, enclosures, and exhaust systems installed, functional, and unobstructed; never bypass, defeat, disable, or modify a safety device;

·       remain in attendance and maintain direct observation while the laser is operating; never leave operating equipment unattended;

·       keep a suitable, inspected fire extinguisher immediately accessible; keep the work area free of unnecessary combustibles; stop operation immediately if flame, abnormal smoke, odor, noise, cooling loss, exhaust loss, or other unsafe condition occurs;

·       identify every material and coating before processing, consult reliable safety data, and test cautiously; never process PVC, vinyl, chlorinated materials, PTFE/Teflon, unknown materials, or any substance that may release toxic, corrosive, explosive, or otherwise hazardous emissions;

·       use appropriate personal protective equipment and ventilation, and comply with occupational, environmental, fire, building, electrical, emissions, hazardous-material, and waste-disposal requirements;

·       use only compatible materials, settings, accessories, parts, software, and procedures; maintain the Product and keep records reasonably appropriate for safe commercial operation; and

·       immediately stop using and isolate any Product that is damaged, modified, malfunctioning, missing labels, or suspected to be unsafe, and obtain qualified technical assistance before returning it to service.

8. Installation, Modification, Maintenance, and Repairs

You are responsible for site readiness, permits, inspections, utilities, ventilation, exhaust discharge, fire-code compliance, access, rigging, installation, commissioning, and operator training unless a signed writing expressly assigns a specific task to AEON. Any installation assistance or remote guidance assumes that you provide truthful information and competent personnel at the machine.

Unauthorized modification, relocation, bypass of a safety system, use outside specifications, use of incompatible parts or consumables, or repair by an unqualified person may create severe hazards and shift responsibility to you. Disconnect, lock out, and verify all energy sources before permitted service. Certain components retain dangerous voltage after disconnection and must be serviced only by qualified persons.

9. Assumption of Risk

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ACCEPT THE RISKS INHERENT IN POSSESSING, INSTALLING, OPERATING, MAINTAINING, REPAIRING, TRANSPORTING, OR ALLOWING ACCESS TO LASER EQUIPMENT, INCLUDING RISKS ARISING FROM MATERIAL SELECTION, SETTINGS, FUMES, FIRE, ELECTRICITY, MOVING PARTS, USER ERROR, INADEQUATE FACILITIES, AND FAILURE TO FOLLOW INSTRUCTIONS. THIS ASSUMPTION DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE WAIVED.

10. Customer Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless AEON Laser USA, Inc., its parents, affiliates, manufacturers, distributors, officers, directors, employees, agents, contractors, successors, and assigns (collectively, the "AEON Parties") from and against third-party claims, demands, actions, investigations, losses, judgments, penalties, fines, liabilities, damages, settlements, and reasonable attorneys' fees and costs arising out of or relating to: (a) your breach of these Terms; (b) your negligent, reckless, willful, unlawful, or unsafe act or omission; (c) installation, site conditions, operation, supervision, maintenance, repair, modification, transport, resale, lease, loan, disposal, or other use or control of a Product after delivery; (d) materials processed, emissions, fire, finished goods, designs, files, content, or products you create or sell; (e) injury, death, or property damage caused by your failure to follow instructions or law; or (f) infringement or illegality arising from materials, designs, files, or instructions you supply.

AEON will promptly notify you of a covered claim and provide reasonable cooperation at your expense. You may control the defense with counsel reasonably acceptable to AEON, but you may not settle a claim in a manner that admits fault by, imposes obligations on, or fails to fully release an AEON Party without AEON's written consent. This section does not require indemnification for an AEON Party's liability to the extent caused by that party's gross negligence, willful misconduct, or other conduct that cannot lawfully be indemnified.

11. General Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, TRAINING, SOFTWARE, RECOMMENDATIONS, AND OTHER WEBSITE-BASED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AEON DISCLAIMS REPRESENTATIONS OR GUARANTEES REGARDING ACCURACY, COMPLETENESS, RESULTS, UPTIME, AVAILABILITY, SECURITY, OR FITNESS FOR A PARTICULAR USE, EXCEPT TO THE EXTENT EXPRESSLY STATED IN A SEPARATE WRITTEN POLICY OR REQUIRED BY LAW.

We do not warrant that a Product or setting will safely or successfully process a particular material, meet production or profitability targets, comply with your local requirements, or produce a particular result. You are responsible for validation, testing, backups, quality control, and safe workflow design. Some jurisdictions do not permit certain disclaimers, so they apply only to the extent lawful.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NO AEON PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; PERSONAL OR BUSINESS INTERRUPTION; LOSS OF USE, DATA, PRODUCTION, REVENUE, PROFITS, CONTRACTS, GOODWILL, OR OPPORTUNITY; COST OF SUBSTITUTE EQUIPMENT; OR DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AEON PARTIES' AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PRODUCT, ORDER, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID AEON FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. THE LIMITATIONS APPLY REGARDLESS OF THEORY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, BUT DO NOT LIMIT LIABILITY THAT APPLICABLE LAW PROHIBITS LIMITING, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR PERSONAL INJURY TO THE EXTENT NONWAIVABLE.

13. Software, Connectivity, and Third-Party Services

Products may use third-party software, firmware, cloud services, payment processors, carriers, financing providers, or integrations. Their terms and privacy practices apply separately. You are responsible for compatible devices, networks, cybersecurity, updates, licenses, backups, and lawful use. AEON is not responsible for third-party outages, changes, content, or acts, except to the extent required by law.

14. Intellectual Property; User Submissions

The Site and its text, graphics, photos, videos, designs, software, trademarks, and other content are owned by or licensed to AEON and protected by law. AEON grants you a limited, revocable, nonexclusive, nontransferable license to use the Site for lawful evaluation and purchase of Products. No other rights are granted.

If you voluntarily submit reviews, feedback, photos, videos, testimonials, or other content, you represent that you have the necessary rights and grant AEON a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to host, reproduce, adapt, publish, display, distribute, and use it for operations, support, and marketing, subject to applicable privacy law. You may not submit confidential, unlawful, infringing, unsafe, misleading, or malicious content.

15. Privacy

Our Privacy Policy describes how we collect, use, disclose, and protect personal information and is incorporated by reference. By using the Site, you acknowledge that policy. You are responsible for obtaining any notices or consents required before sending us another person's information.

16. Compliance; Export; Sanctions; Resale

You will comply with all applicable laws concerning laser products, workplace safety, fire protection, emissions, hazardous materials, electrical systems, intellectual property, privacy, exports, sanctions, and end use. You may not export, reexport, transfer, or use a Product, software, or technical information in violation of U.S. or other applicable trade-control laws, or for a prohibited end user or end use. Resellers and lessors remain responsible for lawful marketing, downstream warnings, manuals, training, traceability, and any separate written dealer requirements.

17. Force Majeure

AEON is not liable for delay or failure caused by events beyond its reasonable control, including acts of God, fire, flood, severe weather, epidemic, war, terrorism, civil unrest, labor disruption, shortage, cyberattack, carrier or supplier failure, government action, embargo, customs delay, utility failure, or transportation interruption. Time for performance will be extended reasonably, and nonperformance of payment obligations already due is not excused.

18. Suspension; Termination

We may suspend or terminate Site or account access if we reasonably believe there is fraud, abuse, security risk, unlawful activity, nonpayment, or a material breach. Termination does not affect accrued payment duties, Product safety obligations, licenses already granted, or provisions that by nature should survive, including indemnification, disclaimers, limitations, dispute terms, and intellectual-property provisions.

19. Governing Law; Venue; Time to Bring Claims

These Terms and any dispute arising from them are governed by Florida law, without regard to conflict-of-law principles, and applicable federal law. Subject to any nonwaivable consumer right, the state and federal courts located in Brevard County, Florida will have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

To the extent permitted by law, any claim must be commenced within one year after it accrues or be permanently barred. This period does not shorten a limitations period that applicable law prohibits shortening.

20. Changes to These Terms

We may revise these Terms by posting an updated version and effective date. Changes apply prospectively unless applicable law permits otherwise. Material changes will be communicated as required by law. Terms in effect when we accept an order ordinarily govern that transaction; continued Site use after revised Terms become effective constitutes acceptance for later use.

General communications may be sent to sales@aeonlaser.us or through the contact channel listed on the Site. We may send notices to the postal or email address associated with your account or order.

22. General Terms

These Terms, applicable posted policies, and any accepted written order documents are the entire agreement concerning their subject matter. If a provision is unlawful or unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign these Terms without AEON's written consent; AEON may assign them to an affiliate or successor. Headings are for convenience. "Including" means "including without limitation." No third party is a beneficiary except the AEON Parties protected by Sections 10 through 12.
